I. Purpose of the Policy

This policy is intended to clarify the company's position on business ethics and anti-bribery, regulate the conduct of employees and third parties having business dealings with the company, ensure that the company's business activities are lawful, honest, and fair, and safeguard the company's reputation and interests.

II. Scope of Application

This policy applies to all employees, senior management personnel, and members of the board of directors of the company.

III. Principles of Business Ethics

1.   Integrity and Compliance with the Law: The company requires all employees and third parties to strictly comply with national laws and regulations and must not engage in any illegal or non-compliant business activities.

2.   Fairness and Justice: The company advocates fair and just business competition and must not obtain competitive advantages or harm the interests of others through improper means.

3.   Respect for Customers: The company respects the rights and interests of customers and must not engage in fraud, misleading practices, concealment, or other such acts, ensuring that customers receive truthful and accurate information.

4.   Protection of Intellectual Property: The company respects and protects intellectual property rights and must not infringe upon the patent rights, trademark rights, copyrights, or other rights of others.

IV. Anti-Bribery Principles

1.   Prohibition of Bribery: The company strictly prohibits any form of bribery, including but not limited to providing money, property, or other benefits to government officials, customers, suppliers, and others for the purpose of obtaining improper benefits.

2.   Gifts and Hospitality: The company prohibits providing cash, gold and silver jewelry, stocks, and other cash equivalents to any person as gifts or hospitality. For gifts and hospitality that are in line with business customs, prior approval must be obtained from the company's compliance department, and their legality and compliance must be ensured.

3.   Transparency and Openness: The company requires all business activities to remain transparent and open, avoiding any form of under-the-table operation or transfer of benefits.

V. Internal Control and Risk Management

1.   Training and Communication: The company will regularly organize employees to participate in business ethics and anti-bribery training to improve their awareness of business ethics and anti-bribery and their ability to respond accordingly. At the same time, the company will communicate the content and requirements of this policy to employees through internal communication channels.

2.   Reporting Channels: The company has established reporting channels（hr@cds.cn), encouraging employees and third parties to actively report suspected violations of business ethics and anti-bribery rules. The company will strictly protect the lawful rights and interests of whistleblowers and will carefully verify and handle the reported content.

VI. Handling of Violations

1.   Disciplinary Actions: For employees or third parties who violate this policy, the company will impose corresponding disciplinary actions according to the severity of their violations, including but not limited to warnings.

2.   Legal Liability: For acts suspected of violating laws and regulations, the company will cooperate with relevant authorities in accordance with the law in conducting investigations and handling, and may face legal liability and legal sanctions.

VII. Policy Revision and Review

This policy will be reviewed and revised regularly to ensure that it complies with laws and regulations and the actual circumstances of the company. The company will actively advocate business ethics featuring integrity, fairness, and transparency, establish a good corporate image, and contribute to social harmony and stability.
